
These Terms of Service ("Terms") govern your access to and use of the Masdr digital B2B marketplace platform ("Platform"), operated by Brand Haus for E-Marketing LLC ("Masdr," "we," "us," or "our"). By registering, accessing, or using the Platform in any capacity — as a manufacturer/supplier ("Supplier") or as a brand owner/buyer ("Buyer") — you agree to be bound by these Terms, our Privacy Policy, and where applicable, our Master Services Agreement (MSA).
If you do not agree to these Terms, do not access or use the Platform.
Masdr is Egypt’s first technology-driven B2B manufacturing marketplace. The Platform functions as a digital intermediary and technical aggregator, facilitating introductions, communications, and payment processing between verified Egyptian manufacturers and local or global brand owners.
Masdr operates exclusively as a digital intermediary. We are not a manufacturer, seller, distributor, agent, or party to any transaction between Suppliers and Buyers. We do not manufacture, warehouse, own, or physically handle any goods.
To use the Platform, you must:
Manufacturers must additionally pass Masdr’s verification process, providing a valid commercial register (Sijil Senaay) and Tax ID before accessing the full Platform.
All negotiations, discussions, confirmations, pricing agreements, production commitments, and order amendments between Suppliers and Buyers introduced through the Platform must be conducted exclusively through the Platform’s Live Chat interface. Conducting any transaction or negotiation off-platform constitutes a material breach of these Terms and the MSA and may result in immediate account suspension.

Payments on the Platform are processed through Paymob, a licensed payment service provider. By transacting on the Platform, you authorize Paymob to process payments on your behalf in accordance with Paymob’s own terms and conditions.
Suppliers are solely responsible for:
Masdr bears no liability for manufacturing defects, product non-conformity, production delays, shipping delays, or physical damage to goods. Masdr reserves the right to request quality inspection documentation or appoint a third-party inspector prior to payment release.
The Platform and all associated technology, branding, software, databases, content, and features are the exclusive intellectual property of Masdr and protected under applicable Egyptian and international intellectual property laws. Users are granted a limited, non-exclusive, non-transferable license to access and use the Platform solely for its intended purpose.
Suppliers retain ownership of their own product designs, technical specifications, and proprietary materials. By uploading content to the Platform, Suppliers grant Masdr a limited license to display and use such content for marketplace operations and marketing.
Buyers’ proprietary designs and technical packs shared through the Platform must only be used by Suppliers to fulfill the specific order for which they were provided. Unauthorized use or reproduction constitutes a material breach and may give rise to legal liability.
All communications, negotiations, and confirmations conducted through the Platform’s Live Chat are electronically recorded and archived. These records constitute valid legal evidence under Egyptian Law No. 15 of 2004 on Electronic Signatures and may be disclosed to competent judicial or regulatory authorities as required by law or in connection with disputes.
Masdr reserves the right to immediately suspend or terminate any account for:
Masdr may also terminate any account for any reason with 15 calendar days’ written notice. Upon termination, outstanding orders and financial obligations must be completed.
To the maximum extent permitted by Egyptian law, Masdr’s total aggregate liability arising from or related to the Platform shall not exceed USD 1,000. Masdr is not liable for indirect, incidental, consequential, or punitive damages including lost profits, lost business opportunity, or data loss.
These Terms are governed by the laws of the Arab Republic of Egypt. Any dispute arising from these Terms shall be submitted to the exclusive jurisdiction of the competent courts of Egypt.
Masdr reserves the right to amend these Terms at any time. Material changes will be communicated with at least 14 days’ notice via email or Platform notification. Continued use after the effective date constitutes acceptance.
