Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of the Masdr digital B2B marketplace platform ("Platform"), operated by Brand Haus for E-Marketing LLC ("Masdr," "we," "us," or "our"). By registering, accessing, or using the Platform in any capacity — as a manufacturer/supplier ("Supplier") or as a brand owner/buyer ("Buyer") — you agree to be bound by these Terms, our Privacy Policy, and where applicable, our Master Services Agreement (MSA).

If you do not agree to these Terms, do not access or use the Platform.

2. Platform Description

Masdr is Egypt’s first technology-driven B2B manufacturing marketplace. The Platform functions as a digital intermediary and technical aggregator, facilitating introductions, communications, and payment processing between verified Egyptian manufacturers and local or global brand owners.

Masdr operates exclusively as a digital intermediary. We are not a manufacturer, seller, distributor, agent, or party to any transaction between Suppliers and Buyers. We do not manufacture, warehouse, own, or physically handle any goods.

3. Eligibility

To use the Platform, you must:

  • Be a legally registered business or individual with full legal capacity to enter binding agreements
  • Provide accurate, complete, and current registration information
  • Hold all applicable licenses, permits, tax registrations, and authorizations required by Egyptian law
  • Not be subject to any legal prohibition from conducting e-commerce activities

Manufacturers must additionally pass Masdr’s verification process, providing a valid commercial register (Sijil Senaay) and Tax ID before accessing the full Platform.

4. Account Registration & Verification

  • Suppliers must submit valid corporate documentation including commercial register and Tax ID for verification
  • Upon successful verification, Suppliers receive a verified storefront displaying their profile, product catalog, and platform rating
  • All information provided must be truthful, accurate, and kept up to date; false or outdated information constitutes a material breach
  • You are responsible for maintaining the security of your account credentials and for all activity conducted through your account
  • Notify us immediately at adham@factorymena.com of any unauthorized account access

5. Subscription Plans

5.1 Supplier Plans

  • Launch Offer: The first 50 manufacturers onboarded to the Platform receive free access, including a verified storefront and full platform features
  • Pro Monthly: USD $60 per month
  • Pro Semi-Annual: USD $324 per 6 months (10% discount)
  • Pro Annual: USD $612 per year (15% discount)
  • Pro features include: unlimited RFQ replies, unlimited Live Chat messaging, and verified storefront listing

5.2 Buyer Plans

  • Free: Access to 1 unique factory conversation
  • Pro: USD $49 per quarter — unlimited messaging with all verified factories
  • Platinum: USD $199 per month — unlimited messaging plus a dedicated sourcing manager

6. Platform Rules & Prohibited Conduct

6.1 Mandatory On-Platform Communications

All negotiations, discussions, confirmations, pricing agreements, production commitments, and order amendments between Suppliers and Buyers introduced through the Platform must be conducted exclusively through the Platform’s Live Chat interface. Conducting any transaction or negotiation off-platform constitutes a material breach of these Terms and the MSA and may result in immediate account suspension.

6.2 Prohibited Activities

Users must not:

  • Submit false, misleading, or fraudulent information or documentation
  • Circumvent, disable, or interfere with Platform security features
  • Reverse engineer, copy, or exploit any part of the Platform’s technology or intellectual property
  • Conduct or solicit any transaction, negotiation, or business relationship initiated through the Platform outside of the Platform
  • Post or transmit any content that is illegal, defamatory, harmful, obscene, or violates third-party intellectual property rights
  • Use the Platform for money laundering, fraud, or any illegal financial activity
  • Share another user’s confidential designs, technical specifications, or proprietary materials outside the scope of a specific authorized order
  • Harass, threaten, or engage in discriminatory conduct toward other users

7. Payment Processing

Payments on the Platform are processed through Paymob, a licensed payment service provider. By transacting on the Platform, you authorize Paymob to process payments on your behalf in accordance with Paymob’s own terms and conditions.

  • Masdr does not operate an escrow facility. Payments are processed and disbursed directly through Paymob’s infrastructure
  • Masdr currently charges zero (0%) commission on completed transactions. This may change in the future by mutual written agreement as described in the MSA
  • Paymob processing fees are automatically deducted from disbursements to Suppliers
  • All applicable taxes (including 14% VAT under Egyptian law) are the Supplier’s sole responsibility
  • Payment disputes are governed by the Refund Policy set out in this document

8. Supplier Quality & Production Obligations

Suppliers are solely responsible for:

  • Manufacturing products to agreed technical specifications
  • Ensuring product quality, safety, and regulatory compliance
  • Proper packaging and timely shipment of goods
  • Issuing legally compliant invoices including Tax ID and applicable VAT
  • All logistics, customs clearance, and risk of loss in accordance with agreed Incoterms (e.g., EXW, FOB)

Masdr bears no liability for manufacturing defects, product non-conformity, production delays, shipping delays, or physical damage to goods. Masdr reserves the right to request quality inspection documentation or appoint a third-party inspector prior to payment release.

9. Intellectual Property

The Platform and all associated technology, branding, software, databases, content, and features are the exclusive intellectual property of Masdr and protected under applicable Egyptian and international intellectual property laws. Users are granted a limited, non-exclusive, non-transferable license to access and use the Platform solely for its intended purpose.

Suppliers retain ownership of their own product designs, technical specifications, and proprietary materials. By uploading content to the Platform, Suppliers grant Masdr a limited license to display and use such content for marketplace operations and marketing.

Buyers’ proprietary designs and technical packs shared through the Platform must only be used by Suppliers to fulfill the specific order for which they were provided. Unauthorized use or reproduction constitutes a material breach and may give rise to legal liability.

10. Platform Records as Legal Evidence

All communications, negotiations, and confirmations conducted through the Platform’s Live Chat are electronically recorded and archived. These records constitute valid legal evidence under Egyptian Law No. 15 of 2004 on Electronic Signatures and may be disclosed to competent judicial or regulatory authorities as required by law or in connection with disputes.

11. Termination & Suspension

Masdr reserves the right to immediately suspend or terminate any account for:

  • Fraud, misrepresentation, or submission of false documentation
  • Conducting off-platform negotiations or transactions
  • Material breach of these Terms or the MSA
  • Non-compliance with applicable Egyptian laws or regulations
  • Conduct detrimental to the Platform, its users, or its reputation

Masdr may also terminate any account for any reason with 15 calendar days’ written notice. Upon termination, outstanding orders and financial obligations must be completed.

12. Limitation of Liability

To the maximum extent permitted by Egyptian law, Masdr’s total aggregate liability arising from or related to the Platform shall not exceed USD 1,000. Masdr is not liable for indirect, incidental, consequential, or punitive damages including lost profits, lost business opportunity, or data loss.

13. Governing Law & Disputes

These Terms are governed by the laws of the Arab Republic of Egypt. Any dispute arising from these Terms shall be submitted to the exclusive jurisdiction of the competent courts of Egypt.

14. Amendments

Masdr reserves the right to amend these Terms at any time. Material changes will be communicated with at least 14 days’ notice via email or Platform notification. Continued use after the effective date constitutes acceptance.
